Preamble
These Terms of Use (hereinafter "TOU") define the rules for accessing and using the Ges-sco platform, a school management solution developed and published by Lowe Technologies Inc., a Canadian corporation (hereinafter "the Publisher").
By accessing the Ges-sco platform or creating an account, the User acknowledges having read these TOU and agrees to be bound by them in their entirety. If you do not accept these terms, you must not use the platform.
Important: These TOU are accessible at all times on the platform and prevail over any contradictory document. Lowe Technologies Inc. reserves the right to update them; users will be notified of any material changes.
Article 1 — Acceptance of Terms

1.1 Scope
These TOU apply to any person accessing or using the Ges-sco platform, regardless of the access method (web, mobile, API) or device used.
1.2 Acceptance
Use of the platform constitutes full and unconditional acceptance of these TOU. This acceptance is formalized during account creation by checking the "I accept the TOU" checkbox. Refusal to accept prevents access to the service.
1.3 Changes to TOU
Lowe Technologies Inc. reserves the right to modify these TOU at any time. Users will be notified of any material change by email at least thirty (30) days before it takes effect. Continued use of the platform after such notification constitutes acceptance of the new terms.
Article 2 — Service Description

2.1 Nature of the Service
Ges-sco is a comprehensive SaaS (Software as a Service) school management platform, published by Lowe Technologies Inc., offering administrative, educational and financial management features for educational institutions of all levels.
2.2 Key Features
- Enrollment, student and staff management
- Academic tracking, assessments, report cards and transcripts
- Financial management: billing, payments, accounting
- Internal and external communication (messaging, notifications)
- Dashboards, reports and statistics
2.3 Service Evolution
Lowe Technologies Inc. is committed to evolving the platform to improve performance and enrich its features. The Publisher reserves the right to modify, suspend or discontinue certain features with reasonable notice to users.
Article 3 — User Account

3.1 Account Creation
Access to platform features requires creating a user account. Information provided must be accurate, complete and kept up to date. Any false or misleading information may result in account suspension or deletion.
3.2 Credential Security
The user is solely responsible for the confidentiality of their login credentials (username and password). Any activity performed from their account is presumed to have been carried out by the user. In case of suspected unauthorized use, the user must immediately notify Lowe Technologies Inc.
3.3 Suspension and Deletion
Lowe Technologies Inc. reserves the right to temporarily suspend or permanently delete any account in the event of: violation of these TOU, fraudulent activity, compromise of platform security, or non-payment of amounts due.
Article 4 — Intellectual Property

4.1 Lowe Technologies Inc.'s Rights
The Ges-sco platform, its source code, algorithms, interfaces, documentation, trademarks, logos and all constituent elements are the exclusive property of Lowe Technologies Inc. and are protected by Canadian and international copyright and intellectual property laws.
4.2 License to Use
Lowe Technologies Inc. grants the user a personal, non-exclusive, non-assignable and non-transferable license to use the platform, limited to the subscription period and contractual scope. Any reproduction, modification, reverse engineering, decompilation, disassembly or extraction of all or part of the platform is strictly prohibited.
4.3 User Content
The user retains all intellectual property rights over content they upload or enter on the platform ("User Content"). By using the service, the user grants Lowe Technologies Inc. a limited, non-exclusive and royalty-free license to host, store and process such Content solely for the purpose of providing the service.
Article 5 — Financial Terms

5.1 Pricing
Access to the Ges-sco platform is subject to a paid subscription whose pricing terms are specified in the quote or purchase order accepted by the client.
5.2 Billing and Payment
Invoices are issued at the contractual frequency (monthly or annual) and are payable under the agreed terms. Late payment may result in suspension of access to the service and the application of late payment interest.
5.3 Rate Changes
Lowe Technologies Inc. reserves the right to modify its rates. Any change will be communicated to the client with a minimum of thirty (30) days notice before the next renewal date.
Article 6 — Liability and Warranties

6.1 User Obligations
The user agrees to: (a) use the platform in accordance with its intended purpose and in compliance with applicable laws; (b) not attempt to compromise the security, integrity or availability of the platform; (c) not use the platform for unlawful or unethical purposes; (d) not distribute any unlawful, defamatory or rights-infringing content.
6.2 Lowe Technologies Inc.'s Commitments
Lowe Technologies Inc. undertakes to provide the service with due diligence and professionalism, in accordance with industry standards. The Publisher is bound by an obligation of means, not of results.
6.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOWE TECHNOLOGIES INC. SHALL IN NO EVENT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES OR REVENUE. Lowe Technologies Inc.'s total liability is capped at the amount of fees paid by the client during the twelve (12) months preceding the event.
Article 7 — Personal Data Protection

7.1 Collection and Processing
Lowe Technologies Inc. collects and processes personal data in compliance with the GDPR, PIPEDA and Quebec's Law 25. Full details are available in our Privacy Policy.
7.2 Purposes
Data is collected for: provision and improvement of the service, administrative management and billing, customer support, platform security and compliance with legal obligations.
7.3 User Rights
In accordance with applicable regulations, users have the right to access, rectify, erase, restrict, object to and port their personal data. These rights may be exercised by contacting privacy@ges-sco.com.
Article 8 — Duration and Termination

8.1 Duration
These TOU take effect upon acceptance by the user and remain applicable for the entire duration of platform use.
8.2 Termination
Either party may terminate the relationship by providing thirty (30) days written notice. Lowe Technologies Inc. may terminate immediately in the event of a material breach by the user.
8.3 Consequences
Upon termination, access to the platform will be deactivated. The user may request data export in a standard format within thirty (30) days following termination. After this period, data will be deleted, subject to legal retention obligations.
Article 9 — Governing Law and Disputes

9.1 Governing Law
These TOU are governed by the laws of the Province of Manitoba and the applicable federal laws of Canada. In case of discrepancy between language versions, the French version prevails for French-speaking users and the English version for English-speaking users.
9.2 Amicable Resolution
In the event of a dispute, the parties agree to seek an amicable solution in good faith before any legal proceedings. A request for amicable resolution must be addressed in writing to the other party.
9.3 Jurisdiction
Failing amicable resolution within thirty (30) days, the courts of Winnipeg, Manitoba, Canada, shall have exclusive jurisdiction to hear the dispute.
Article 10 — Final Provisions

10.1 Entirety
These TOU, together with the Privacy Policy and Terms of Sale, constitute the entire agreement between the user and Lowe Technologies Inc. and supersede any prior agreement.
10.2 Severability
If any provision of these TOU is declared null or unenforceable by a competent court, the remaining provisions shall remain in full force and effect.
